Please read these Terms of Service carefully before utilizing the NexStream broadcasting studio, multistream distribution routing, and associated cloud encoding infrastructure.
You retain full ownership of the video and audio content you produce. NexStream provides the cloud tools and real-time network pipelines to simulcast your live feeds to third-party destinations (YouTube, Twitch, Kick, RTMP). You are solely responsible for ensuring you have all broadcasting, music, and copyright clearances. We do not sell your personal information or broadcast feeds.
Acceptance of Terms
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement entered into between you (either individually or on behalf of an entity, "User", "Creator", or "you") and NexStream Inc. ("NexStream", "Company", "we", "us", or "our"), regarding your access to and use of the NexStream web applications, APIs, Studio studio software, and multistream cloud encoding network (collectively, the "Services").
By creating an account, clicking "Sign Up", or accessing or using the Services, you express your unconditional consent to be bound by these Terms and our Privacy Policy. If you do not agree to all provisions contained herein, you must immediately discontinue all use of the Services.
We reserve the right, in our sole discretion, to modify or replace these Terms at any time. When material changes occur, we will notify registered account holders via email or an in-product studio banner at least thirty (30) days prior to the effective date of the amendments.
Description of Service & Eligibility
NexStream operates a cloud-based video production studio and multi-destination streaming platform that enables creators, enterprises, and broadcasters to ingest live audio and video signals, assemble overlays and guest feeds, and relay real-time transcoded feeds to external endpoints including Twitch, YouTube Live, Kick, Facebook Live, LinkedIn, and custom RTMP/SRT servers.
- You must be at least 13 years of age (or the minimum legal age required in your jurisdiction, such as 16 in the EEA) to register for an account.
- If you are under 18 years of age, you represent that you have obtained express permission from a parent or legal guardian who agrees to be bound by these Terms on your behalf.
- You represent that you are not barred from receiving Services under the laws of the United States, European Union, or applicable international export restriction regimes.
User Accounts and Security
To broadcast or configure destinations, you must register for an account by providing accurate, current, and complete registration details. You agree to maintain and promptly update your account credentials.
You are solely responsible for maintaining the confidentiality of your account credentials, passwords, session tokens, and RTMP stream keys. You agree not to share your account credentials with unauthorized third parties. Any broadcast activity occurring under your account or using your secret stream keys will be deemed your exclusive responsibility.
You must immediately notify NexStream at security@nexstream.app upon discovering any unauthorized use of your account or any other breach of studio security.
Acceptable Use Policy & Content Restrictions
NexStream is dedicated to maintaining a reliable, high-integrity platform. You agree not to broadcast, transmit, distribute, or store any content that:
DMCA & Copyright Take-down Policy: We respect intellectual property rights. If we receive a valid notification under the Digital Millennium Copyright Act (17 U.S.C. § 512), we will terminate the offending transmission and may disable or terminate repeat infringer accounts.
Intellectual Property & Broadcast Rights
Your Content Ownership: As between you and NexStream, you retain all intellectual property rights, copyright, and title in your broadcast media, stream graphics, recorded archives, audio, and visual assets ("User Content").
Limited License to NexStream: By transmitting content through the Services, you grant NexStream a limited, non-exclusive, worldwide, royalty-free license solely to ingest, decode, transcode, replicate, and transmit your stream data to your designated destinations, and to cache recorded sessions as explicitly requested by your plan settings. This license terminates automatically once your broadcast ends and any associated temporary recording cache expires.
NexStream Intellectual Property: The NexStream software, interface design, studio layouts, logos, trademarks, and documentation are the proprietary property of NexStream Inc. and protected by copyright and intellectual property laws.
Subscriptions, Billing & Cancellation
Subscription Fees: Certain tiers (e.g. Standard, Professional, Enterprise) require recurring monthly or annual payments. Pricing and features are detailed on our Pricing Page. All fees are stated in U.S. Dollars (USD) exclusive of taxes, unless specified otherwise.
Automatic Renewal: Paid subscriptions automatically renew at the conclusion of each billing cycle unless you cancel through your account settings prior to the renewal date.
14-Day Refund Policy: We offer a 14-day refund window for first-time purchases of monthly or annual plans. Refund requests submitted within fourteen (14) calendar days of the initial subscription charge will receive a 100% refund. Renewal charges beyond this initial period are non-refundable, except where required by mandatory consumer law.
Cancellation & Downgrades: You may cancel or downgrade your plan at any time in Account > Billing. Following cancellation, you will retain access to your paid tier features until the conclusion of your current billing period.
Third-Party Platforms & APIs
NexStream interfaces with third-party social and streaming platforms via their official developer APIs and RTMP gateways. By connecting your destination accounts, you explicitly acknowledge and agree to comply with their respective terms of service:
NexStream is not responsible for any destination outages, stream key resets, or bans imposed by third-party platforms on your account.
Service Availability & Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. STREAMER EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
While NexStream maintains redundant multi-region cloud ingest clusters and targets 99.9% uptime, we do not warrant that your live broadcast will be entirely uninterrupted, error-free, or free from packet jitter, frame drops, or latency variations attributable to public internet routing or local ISP bottlenecks.
Limitation of Liability & Indemnification
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL STREAMER INC., ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF ADVERTISING REVENUE, DONATIONS, SPONSORSHIPS, OR BUSINESS GOODWILL) ARISING FROM YOUR BROADCASTS.
STREAMER'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE TOTAL AMOUNTS PAID BY YOU TO STREAMER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Indemnification: You agree to defend, indemnify, and hold harmless NexStream Inc. and its officers from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your violation of these Terms, or your infringement of any third-party rights.
Governing Law & Contact Details
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA), rather than in court.
